Compleo signs contract to acquire innogy eMobility Solutions

Dortmund, October 26, 2021 - Compleo Charging Solutions AG (Compleo) signed an agreement with the E.ON subsidiary innogy SE today for the acquisition of 100% of the shares in innogy eMobility Solutions GmbH ("ieMS"). Compleo is thus consistently continuing the inorganic part of its growth strategy following the acquisition of wallbe GmbH (now Compleo Connect GmbH) in the first half of 2021. The acquisition of ieMS, which has been under negotiation since July, will create one of the leading full-service providers of charging technology in Europe at the site in Dortmund. The acquisition price amounts to a mid-double-digit million euro sum. The purchase will be paid for with Compleo shares and in cash. The transaction that will transfer ieMS to the Compleo Group is for the turn of the year 2021/2022 With the acquisition, Compleo will be taking over the entire workforce and all of ieMS' customer relationships, as well as ieMS' subsidiary in the United Kingdom. The business of the US subsidiaries of innogy eMobility Solutions GmbH is not included in the agreement. The E.ON Group itself will continue to focus strongly on integrated customer solutions and the operation of public charging infrastructure in the area of electromobility.

Compleo is strengthening its current portfolio with this acquisition. The company is adding valuable expertise as well as high-performance charging stations and software services to its advanced charging solutions. Especially the area of software services will be significantly strengthened by ieMS' leading backend system. The ieMS eMobility backend already networks around 200,000 charging points in around 30 countries worldwide. "We are thus positioning ourselves as a leading provider in both the SaaS and transaction-based charging business," said Georg Griesemann, Co-CEO of Compleo Charging Solutions AG. Compleo and ieMS complement each other perfectly. "By combining our products and experience, we will become a strong full-service provider of charging technology that will play a leading role in the rapidly growing e-mobility market in Europe," Griesemann added. "We grow with satisfied customers. The merger with Compleo enables us to meet the needs of our customers even better and thus, in sum, provide even stronger impetus for climate-neutral mobility," commented Arjan von der Eijk, CEO/COO of innogy eMobility Solutions GmbH.

Compleo and ieMS were both founded over twelve years ago and are both based in Dortmund. Both companies have invested heavily in the research and development of their technologies and successfully filed a number of patents in recent years. Compleo stands for consumer-friendly and operator-open AC and DC charging stations and was one of the first providers to establish DC-charging solutions in the market that comply with calibration regulations. With the acquisition of the E.ON subsidiary, Compleo is continuing with this technology focus. As part of the merger, both companies will focus above all on continuity and continue to develop ieMS' hardware and software products. The main focus is on the operator software eOperate, the charging platform eMarketplace and the eBox family. "Parallel to optimizing existing charging solutions, we will jointly develop great new products," Griesemann announced. Compleo also has the backing of E.ON. At the end of August, the Group had already officially announced that it would be offering Compleo's entire AC product portfolio to its sales companies for business customers throughout Europe.
