Dear Shareholder,

Solocal has just announced its financial results for 2018 and I wanted to take
this opportunity to bring to your attention the key messages in our financial
statement:

- The guidance of 2018 recurring EBITDA(1) stabilisation has been delivered,
  after nine consecutive years of decline. The management team has met its
  commitments and implemented massive cost reductions across the company, a
  necessary step to ensuring the group's profitability over the long term. Cost
  cutting generated savings of 60 million euros in 2018 compared to our 2017 
  cost base, and should deliver 100 million euros savings in 2019.

- The plan is based on a rigorous financial management of the company's cost
  base reduction, as well as on the implementation of a strategic in-depth
  transformation aiming at repositioning Solocal's digital offer and 
  redeploying its sales organisation. This plan will bear fruit on a 
  commercial level as of this year, Solocal's 2019 objective being to return 
  to growth in Digital order intake(1) and to moderate growth in recurring 
  EBITDA(1).

- At the same time, the company has preserved its cash position (82 million
  euros at the end of 2018 vs. 86 million euros at the end of 2017) while
  absorbing 50 million euros outflows due to the restructuring plans, and
  stabilising its net financial debt (328 million euros on 31st December 2018 
  vs. 332 million euros on 31st December 2017).

- The consolidated net result amounts to a loss of 81 million euros in 2018 but
  this figure includes all the restructuring provisions, amounting to a net 
  total of 164 million euros. The 2019 net result will not be impacted by any 
  new provisions related to the restructuring plan launched in 2018.

The management team has led a rapid and unprecedented transformation. The
social part of the restructuring was finalised in 2018 with 1,000 people
leaving the company. The new digital product offer is now deployed across our
customer base and is in new client acquisition mode, and I can bear witness to
the fact that this new product range is being received very favourably by our
customers. The salesforce has been reorganised in multichannel mode, with the
introduction of e-commerce, new customer segmentation and new variable
compensation rules. Advertising campaigns have been launched. Lastly, the last
round of hiring for key positions took place during the second half of 2018, to
complete the management team with professionals highly skilled, with extensive
experience in their fields, and committed to the company's success.

Some of you are asking me whether the company has the capacity to finance the
163 million euros outflows forecasted for 2019 in the context of the
transformation plan, whether for the social part or the cost of vacant office
space related to this restructuring. Let me remind you that the company
generates positive recurring operating cashflows (>100 million euros), which
will be used in 2019 to meet those disbursements, on top of the 82 million
euros in cash available as of 1st January 2019. Moreover, Solocal has set up
additional financing solutions to strengthen its balance sheet with a working
capital facility of at least 10 million euros and a three-year Revolving Credit
Facility (RCF) of 15 million euros. Other discussions are ongoing to expand
other banking partnerships and to increase the working capital facility as the
company carries over 200 million euros of account receivables on its balance
sheet. Furthermore, non-strategic asset disposals are still being considered
and may strengthen liquidity further. According to the cash outflows the group
is projecting (based in particular on the growth of Digital order intake(1) in
2019) and taking into account its financial facilities, the group is in a
position to finance its business activity in 2019 as well as the large
outflows, related to the PSE, which will take place in the third and fourth
quarters of 2019.

After this transition year in 2019, the company should continue to generate
positive operating cashflows, in excess of 100 million euros, which from
2020/2021 may be allocated to reducing its net debt; a bond refinancing may
also be envisaged should market conditions permit.

Despite this transformation positioning Solocal on a growth path, Moody's
rating agency has just downgraded its corporate rating from B3 to Caa1 with a
negative outlook. Moody's explains its decision by the fact that, in a highly
stressed case where Digital order intakes would keep decreasing strongly by 25%
in the first quarter 2019 (vs. first quarter 2018) and by 20% in the second
quarter 2019 (vs. second quarter 2018), the company would potentially face in
2019 a liquidity gap estimated by Moody's below 20 million euros, in the third
and fourth quarters of 2019. I am in disagreement with this analysis, non
consistent with our 2019 Digital order intake1 growth outlook. Furthermore, for
technical reasons, Moody's has not taken into account the working capital
facilities we are currently mobilising. At this stage, those add up to 10
million euros, an amount that can be revised upwards. Besides, Moody's does not
take into consideration the potential asset disposals we are currently working
on. All those various points, as a whole, have led the Board of Directors to
approve 2018 consolidated accounts as a going concern, and auditors to certify
those.

As to Fitch, the rating agency has maintained the corporate rating at B-,
placing it on rating watch negative.

We will hold our Annual General Meeting on 11th April 2019 and I will be
delighted to meet you there. Our 2018 Registration Document will be published
ahead of that date.
