COMBINED GENERAL MEETING OF MAY 17TH, 2018 AVAILABILITY OF PREPARATORY
DOCUMENTS FOR THE GENERAL MEETING

The Company's shareholders are called to a Combined General Meeting on
Thursday, May 17th, 2018 at 10 a.m. at Espace Grande Arche, la Grande Arche,
92044 Paris-La Défense - France.

The notice of meeting serving as convocation, containing the agenda and the
draft resolutions as well as the terms and conditions on how to attend and to
vote at this General Meeting, was published in the Bulletin des Annonces
Légales et Obligatoires (BALO) on March 5th, 2018.

The information and documents relating to the General Meeting will be made
available to shareholders in accordance with applicable legal and regulatory
provisions, and may, in particular, be consulted on the Company's website.

The General Meeting will be asked in particular to:

* approve the allocation of a dividend of EUR 0.65 per share, with an
ex-dividend date on May 22nd, 2018 and a payment date on May 24th, 2018;

* approve the renewal of the mandate of Ms. Judith Hartmann, Messrs Francesco
Caltagirone, Pierre Mongin and Guillaume Pepy and the appointment of two new
directors, i.e Ms. Brigitte Taittinger-Jouyet and Mr. Franck Bruel (Ms. Ines
Kolmsee and Mr. Jérôme Tolot did not request the renewal of their mandates).

Brigitte Taittinger-Jouyet is graduated from the Institut d'Études Politiques
in Paris and holds a Master's degree in History from the University of Human
Sciences in Reims. In 1984, she joined Publicis as advertising manager. In
1988, Brigitte Taittinger-Jouyet pursued her career in the Taittinger group
Marketing Department, in charge of the industrial (Deville) and hotel
companies. From 1991 to 2012, she was Chairman and CEO of the perfume company
Annick Goutal. From 1995 to 2015, she was also Vice-President of Baccarat. From
2013 to 2017, she was Director of Strategy and Development at Sciences Po -
Paris. She has been also a Director of HSBC France since 2008, of the Centre
Pompidou since 2013 and of FNAC Darty since 2014;

Franck Bruel is Executive Vice-President of ENGIE, member of the Executive
Committee, in charge of France BtoB BU, since 2016. Franck Bruel has gained
extensive experience in services business, in and outside France. He began his
career at L'Oréal before joining the Pinault Distribution group first, and the
Samse group afterwards, in marketing and sales positions. In 2000, he entered
Saint Gobain where he was successively appointed Paris Region President for
Point P group, Chief Executive Officer of Dahl in Sweden in 2004, and finally
in 2006, Chief Executive Officer of Point P. In 2010, he joined the
family-owned group Sonepar (world leader in the distribution of electrical
equipment) as Chief Operating Director, before being appointed in the position
of Chief Executive Officer in 2013. He joined ENGIE in 2016.
