Appeal against the French Financial Markets Authority's decision
SUEZ was informed of the decision of the French Financial Markets Authority by
which the authority considers that the communication of Veolia does not lead to
a "preoffer" within the meaning of the General Regulations of the French
Financial Markets Authority. SUEZ believes that the structuration of this
hostile operation, in two steps, proposed by Veolia is in breach of regulation
and will file an appeal before the Paris Court of Appeal.
A change of control transaction, as announced and proposed by Veolia, should be
structured as a tender offer opened to all shareholders.
