EQS-Ad-hoc: Hörmann Industries GmbH / Key word(s): Disposal Completion of the sale of HÖRMANN Automotive Wackersdorf GmbH by purchaser not fulfilled Kirchseeon, 25 October 2023 - HÖRMANN lndustries GmbH (corporate bond, ISIN: NO0012938325) announces that the purchase agreement signed at the beginning of August 2023 between HÖRMANN Automotive GmbH and Swiss ncdh Group AG for the sale of 100% of the shares in HÖRMANN Automotive Wackersdorf GmbH has not been executed, as the purchaser has not paid the contractually agreed purchase price without giving any reasons. HÖRMANN Automotive GmbH has now declared a rescission of the purchase agreement and has withdrawn from the purchase agreement. Prior to this, HÖRMANN Automotive GmbH made intensive attempts to obtain fulfilment of the closing obligations by ncdh Group AG, in particular payment of the purchase price. These efforts have now finally failed. HÖRMANN Industries GmbH and HÖRMANN Automotive GmbH are currently examining alternative strategic options with regard to HÖRMANN Automotive Wackersdorf GmbH. These include both the continuation of the subsidiary under the umbrella of HÖRMANN Automotive GmbH in connection with a dynamic acquisition of new orders as well as the search for a reliable new acquirer with high order potential. Responsible and sustainable dealings with employees as well as customers and suppliers have the highest priority in the further decision-making process, which HÖRMANN expects to take place only in the course of 2024.
